By registering with Swarnim Ventures as an entrepreneur or startup, you represent and warrant that:
- You are at least 18 years of age and have the legal capacity to enter into binding agreements.
- You are the authorized representative or owner of the business for which you are seeking funding.
- The information provided in your registration is true, accurate, and complete, and you will notify us promptly of any changes to your business information.
- You are legally compliant with all local, state, national, and international laws applicable to your business.
2. No Guarantee of Investment or Funding
Swarnim Ventures operates a platform that connects entrepreneurs with potential investors; however, we do not guarantee the success of any investment, funding, or business transaction between you and investors. We do not provide any assurances regarding the amount, timing, or terms of funding. Our role is limited to facilitating the introduction and providing administrative services, and we do not make any representations regarding the financial performance, viability, or success of any startup or investor.
3. Investor and Entrepreneur Responsibilities
While Swarnim Ventures strives to ensure a smooth connection between entrepreneurs and investors, we are not responsible for:
- The success or failure of any investment or business venture.
- Any misrepresentation, fraudulent activity, or non-performance by either the entrepreneur or the investor.
- Any failure to honor the terms and agreements set between the investor and the entrepreneur, including any breach of contract or failure to pay agreed-upon fees.
Both entrepreneurs and investors are advised to perform their own due diligence before entering into any agreements.
4. Liability Limitations
To the fullest extent permitted by law, Swarnim Ventures shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of the platform, the services provided, or any interactions between investors and entrepreneurs. This includes, but is not limited to, any loss of profits, business opportunities, or reputational damage resulting from the actions of third parties or disputes between investors and entrepreneurs.
Swarnim Ventures is not liable for any damages arising from:
- Inaccurate or incomplete information provided by entrepreneurs or investors.
- Delays or interruptions in the services or the platform.
- Any failure in the investment process, including but not limited to delays, breaches, or non-completion of transactions.
The maximum liability of Swarnim Ventures in relation to any claim under these terms shall not exceed the total amount paid by you for the services provided by Swarnim Ventures during the 12-month period immediately preceding the event giving rise to the claim.
5. Indemnification
By using the services of Swarnim Ventures, you agree to indemnify, defend, and hold harmless Swarnim Ventures, its directors, employees, agents, and affiliates from any and all claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:
- Your use of the platform or services provided by Swarnim Ventures.
- Any misrepresentation or false information provided by you during the registration process or while using the platform.
- Any breach of these Entrepreneur Terms, agreements, or obligations set forth in relation to funding, investments, or third-party relationships.
- Any disputes or legal actions arising between you and investors, including the failure to honor agreements
6. Confidentiality and Non-Disclosure
Both entrepreneurs and investors acknowledge and agree to maintain the confidentiality of all proprietary and confidential information exchanged during the course of their interactions on the Swarnim Ventures platform. This includes but is not limited to:
- Business plans, financial statements, and intellectual property.
- Investor terms, negotiations, and financial commitments.
- Any other sensitive information shared during the investment process.
Swarnim Ventures respects the confidentiality of both entrepreneurs and investors and will take reasonable steps to protect the information shared on the platform. However, Swarnim Ventures is not liable for any unauthorized access to such confidential information, including breaches caused by third parties or technical failures beyond our control.
7. Intellectual Property Rights
All intellectual property rights, including trademarks, service marks, logos, content, and proprietary technology on the Swarnim Ventures platform, are the exclusive property of Swarnim Ventures or its affiliates. You may not use, reproduce, or distribute any of the intellectual property without prior written consent from Swarnim Ventures.
Entrepreneurs must represent that they own or have legal rights to any intellectual property (such as trademarks, patents, and copyrights) related to their business and agree to indemnify Swarnim Ventures against any claims arising from intellectual property disputes.
8. Dispute Resolution and Governing Law
Any disputes arising from or in connection with these Entrepreneur Terms shall be resolved through binding arbitration in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996. The arbitration shall take place in New Delhi, India, and shall be conducted in English. The decision of the arbitrator shall be final and binding.
These terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
9. Amendments to the Terms
Swarnim Ventures reserves the right to modify, update, or revise these Entrepreneur Terms and Conditions at any time, with or without notice. It is your responsibility to review these terms periodically to stay informed about any changes. Your continued use of the platform after any changes are made signifies your acceptance of the revised terms.
10. Termination of Access
Swarnim Ventures reserves the right to suspend or terminate your access to the platform and services at any time and for any reason, including but not limited to:
- Failure to comply with these Entrepreneur Terms.
- Fraudulent or illegal activity.
- Non-payment of fees or violation of financial obligations.
Upon termination, all rights granted to you under these terms will cease, and you must immediately stop using the platform.
11. Force Majeure
Swarnim Ventures shall not be liable for any failure or delay in the performance of its obligations under these terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, strikes, labor disputes, government restrictions, technical failures, or any other events beyond our control.
